Poland Business Registration Guide (Rejestracja Działalności Gospodarczej)

Poland offers several business structures: CEIDG (sole proprietorship) — simple online registration, no minimum capital; Spółka z o.o. (limited liability company) — minimum share capital PLN 5,000; S.A. (joint-stock company) — minimum PLN 100,000. All companies must register with KRS (National Court Register), obtain NIP and VAT numbers, and comply with e-Tax requirements (JPK, STIR). All amounts in PLN.

CEIDG — Sole Proprietorship (Działalność Gospodarcza)

  • The Centralna Ewidencja i Informacja o Działalności Gospodarczej (CEIDG) is the online register for sole proprietors. Registration is free and can be completed online in about 15 minutes.
  • No minimum capital required. The owner is fully liable with personal assets (unlimited liability).
  • Registration via the CEIDG website automatically handles NIP, REGON, ZUS, and statistical classification (PKD) registration.
  • Tax options: general rules (skala podatkowa — progressive 12%/32%), flat tax (podatek liniowy — 19%), or lump-sum (ryczałt od przychodów ewidencjonowanych) at rates from 2% to 17% depending on activity.
  • Best for: freelancers, consultants, small retailers, tradespeople, and solo professionals.

Spółka z o.o. — Limited Liability Company

  • The most popular corporate form for small to medium businesses. Minimum share capital: PLN 5,000 (no minimum per share). Shareholders are not personally liable for company debts.
  • Registration is done through the KRS (Krajowy Rejestr Sądowy) and typically takes 2-4 weeks. Online registration via the S24 system (KRS Online) is faster (1-2 weeks) and cheaper.
  • Required documents: Articles of association (umowa spółki), list of shareholders and directors, registered office address, declaration of capital contribution.
  • Subject to CIT (Corporate Income Tax) at 19% standard or 9% for small taxpayers (revenue below ~PLN 2 million). Dividends paid to shareholders are subject to 19% WHT (may be reduced under DTA).
  • Best for: growing businesses, ventures with multiple owners, and those seeking limited liability.

S.A. — Joint-Stock Company (Spółka Akcyjna)

  • Minimum share capital: PLN 100,000. Suitable for larger enterprises, public offerings, or companies planning to list on the Warsaw Stock Exchange (GPW).
  • Registration through KRS with a more complex process — requires a notarial deed of incorporation, appointment of a management board and supervisory board.
  • Subject to standard CIT at 19%. May issue shares to the public and list on regulated markets.
  • Best for: large businesses, investment holding companies, and entities seeking public capital markets access.

KRS — National Court Register

  • The Krajowy Rejestr Sądowy (KRS) is the official register for all legal entities (LLCs, JSCs, foundations, associations).
  • Registration fees: approximately PLN 500 (online via S24) or PLN 1,000 (traditional paper filing). Court fees may apply.
  • Published in the Court and Economic Monitor (Monitor Sądowy i Gospodarczy) — costs approximately PLN 100-200.
  • Changes to the company (new directors, address changes, capital increases) must be registered with KRS within 7-14 days.

NIP and VAT Registration

  • NIP (Numer Identyfikacji Podatkowej) — tax identification number, automatically issued via CEIDG or KRS registration. Required for all tax filings and invoices.
  • VAT registration (VAT-EU): Businesses with annual sales exceeding PLN 200,000 (2025-2026 threshold) must register as active VAT taxpayers. Voluntary registration is possible below the threshold.
  • VAT rates: 23% standard, 8% reduced, 5% reduced (food, books), and 0% (exports).
  • Non-resident businesses providing services to Polish consumers may need to register for VAT-Poland (via NIP and EU-OSO system).

E-Tax System (STIR, JPK)

  • JPK (Jednolity Plik Kontrolny) — Standard Audit File for Tax. Large and medium businesses must submit monthly JPK_VAT (VAT register and declaration). Smaller businesses file simplified JPK_V7M or JPK_V7K (monthly/quarterly).
  • STIR (System Teleinformatyczny Izby Rozrachunkowej) — real-time bank account monitoring system. Polish tax authorities analyse banking transactions to detect VAT fraud. Banks report suspicious accounts to the Head of the National Revenue Administration (KAS).
  • Businesses must register their bank accounts for VAT purposes with the tax office. Payments above PLN 15,000 must be split into VAT and net amount (split payment mechanism) for certain transactions.
  • e-Tax portal (e-Urząd Skarbowy) — online platform for filing tax returns, accessing tax information, and communicating with tax authorities.
