Business Structures in Ukraine

Available Business Structures
Limited Liability Company (LLC / TOV)
The LLC is the most common business structure for small to medium-sized enterprises in Ukraine.
- Minimum share capital: UAH 0 (no minimum requirement)
- Shareholders: Minimum 1, maximum 100
- Management: Director(s) appointed by shareholders
- Liability: Limited to share capital
- Tax residency: Place of effective management in Ukraine
- Audit requirement: Required if meets certain criteria
Joint Stock Company (JSC / AT)
Suitable for larger enterprises and public companies.
- Minimum share capital: UAH 1,250 (private JSC) / UAH 125,000 (public JSC)
- Shareholders: Minimum 1, no maximum
- Management: Supervisory board + executive board
- Audit requirement: Mandatory annual audit
- Reporting: More extensive disclosure requirements
Sole Proprietorship (FOP / individual entrepreneur)
The simplest business structure for individual entrepreneurs:
- Registration: Simple online registration via Diia
- Liability: Unlimited personal liability
- Taxation: General system (18% PIT) or simplified system (5% of turnover)
- Accounting: Simplified bookkeeping
- VAT: Optional registration if below UAH 1M threshold
Representative Office / Branch
Foreign companies may establish a representative office or branch in Ukraine:
- Representative office: Non-commercial activities only
- Branch: Can conduct commercial activities
- Registration: Requires accreditation from the Ministry of Economy
- Taxation: Subject to CIT on Ukraine-source income
- Local representative: Must appoint a local representative
Diia City Resident Company
A special legal regime for IT and creative industries:
- CIT: 0% on qualifying activities (instead of 18%)
- PIT: 5% on distributed profits for gig-contractors
- SSC: Reduced rate for employees
- Requirements: Must meet criteria for IT/creative activities
- Benefits: Enhanced IP protection, tax stability guarantees
